Angela: Anti-corruption Group, Angela speaking.
Michael: Hi Angela, this is Michael Smith. Do you have a minute? I want to talk about a company we’re thinking of hiring in Colombia. I know I have to get approval through the Business Partner System, but is there anything else we need to consider?
Angela: Sure. Can you tell me a bit more about this Business Partner and the reason you want to hire them?
Michael: Of course. We are looking to grow our Colombian business and we need the help of a third party on the ground to help us navigate it, make introductions, and assist in obtaining new mandates. One of our clients highly recommends BZ Associates and put us in touch with their CEO. He used to work for the Colombian economic development board and has a lot of connections. That would certainly help us to get things rolling. BZ Associates is a relatively new company, but we’ve heard great things.
Angela: And I assume that BZ Associates is located in Colombia?
Michael: Yes, they are in Bogota.
Angela: And how will BZ Associates be compensated?
Michael: We plan to pay a success fee based on the number of deals they help us obtain. We prefer not to spend resources if they don’t get us a deal.
Angela: Okay. This is helpful. There are a few things that will require further consideration. First, we need to be careful that this is not a situation in which client recommendations of a Business Partner are made to obtain kickbacks or other corrupt benefits, such as when a client insists we hire a particular Business Partner in exchange for their business. Who is the client and what do you know about the relationship between the client and BZ?
Michael: I see what you are saying. I think they interacted when the CEO worked for the Office of Economic Development, but I will double check and see if there is anything more to it. Any other issues?
Angela: Yes, because BZ Associate’s CEO is a former Government Official and has connections with the current government, we want to make sure that he will not try to improperly influence his former government colleagues to secure business for Morgan Stanley. This may require additional due diligence and increased monitoring of his activities once his engagement is approved.
DIALOGUE FOR PAIR 2:
Kevin: Hi Caroline, this is Kevin from Real Estate. We just got a Business Partner cleared in BPS. Angela in ACG Legal suggested I give you a call to learn more about the role of the Relationship Owner. Is now a good time?
Caroline: Sure, I’m happy to discuss. First of all, you should familiarize yourself with the contract with the Business Partner, including the services provided, payment schedules, duration, and recipients of payments. You also should have a contact at the Business Partner who can answer any questions you may have about the engagement.
Kevin: Okay, I do have a contact at the Business Partner. It sounds like I should set up regular status calls with him.
Caroline: Absolutely. Regular contact will enable you to stay on top of things and recognize if there is any indication of corrupt activity, such as an unusually fast approval for government permits. Who at the Business Partner is communicating with Government Officials, and are they acting appropriately on our behalf?
Kevin: You mean that they are not making improper payments, including gifts and entertainment, to facilitate the construction?
Caroline: Exactly, which is why you want to monitor any interactions with Government Officials. For the same reasons, you’ll want to make sure that they haven’t hired another party to assist them with the services you hired them to perform.
Kevin: Right, so they’re not doing indirectly, something that we wouldn’t want them to do in the first place. But, they can hire a third party if they need to, right?
Caroline: Only with our approval. We need to know why the third party is necessary and conduct additional due diligence. It would also mean additional monitoring by you to make sure the new third party is acting appropriately.
Kevin: That makes sense.
Caroline: In addition, you may have to periodically obtain a certification from the Business Partner to confirm that they continue to operate lawfully on our behalf.
